Growth Partner Terms & Condition

Terms and Conditions

The Terms and Conditions shall be applicable to all the Growth Partners registered under Let’s Grow Channel which exist or may be opened anytime in future with Fusion Finance Limited.

1. The “Company” refers to Fusion Finance Limited a registered Non-Banking Micro Finance Company, a company incorporated under the Companies Act, 2013 and having its registered office at H-1, Community Center, Naraina Vihar, New Delhi-110028

2. The term Growth Partner means the sourcing partner of Fusion Finance Limited.

3. This Agreement shall be valid and subsisting from the date hereof for an initial period of One (1) year unless terminated earlier in accordance with the terms herein (“Term”). Except as otherwise stated herein, the term of this Agreement shall be renewed for additional period on such terms and conditions as may be mutually agreed.

4. The Growth Partner agree to abide by the company’s Terms and Conditions and rules in force and the changes thereto in Terms and Conditions from time to time relating to his/her Growth Partner account as communicated and made available on the company’s website.

5. The Lender wishes to obtain from the Growth Partners a reference/Leads of potential customers. The Lender will utilize this information in assessing the credit worthiness of the Referral and accordingly process for the loan.

6. On being satisfied on the credit worthiness of the Customer, the Lender will enter into an agreement (“Loan Agreement”) with the Customer for providing financing facility to the Referred Customer. Such Loan Agreement shall be subject to such mutual terms and conditions as may be mutually agreed between the Lender and the Customer.

7. The Company reserves the right to change, modify, or remove the contents of the Growth Partner application “Let’s Grow” at any time or for any reason at its own discretion without notice.

8. The Company will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the application.

9. Growth Partners confirms to provide/upload only accurate, correct & complete information on the Growth Partners App, in case the Growth Partners provides any information that is inaccurate/fraudulent/impersonation of borrower or business or the Company has reasonable grounds to suspect that the information is undue, inaccurate, or incomplete or fraudulent, in that case, Company has right to terminate the partnership without any prior notice.

10. Growth Partners shall ensure that all the information provided to the company will be secured without any misconduct and negligence and the same will not be shared with any third party or competitor.

11. In case of termination, no pay-outs shall get released to the Growth Partners.

12. Growth partner will submit the KYC, banking details and bureau acceptance at the time of onboarding as Growth Partner, as required by the company.

14. By accepting the terms & conditions, Growth Partners agrees to have fully read & understood the detailed terms and are ready to abide by all the terms & conditions.

15. Either Party shall have the right to terminate this Agreement forthwith upon the occurrence of an event of default by the other Party.

16. Either Party shall have the right to terminate this Agreement by providing an advance notice of 90 days to the other party.

Privacy Policy:

1. All details of prospective customers provided by Growth Partners to the company, will not be shared with any third party or competition company.

2. The design & any subsequent modifications on the Growth Partners App will be company’s intellectual property and may not be used or shared in any other form without our prior written consent.

3. By using the application, Growth Partners agrees that internet transmissions are never completely private and secure and that any information uploaded by Growth Partners on application (Name, account details, phone numbers) may be intercepted by others although it is encrypted

5. The Growth Partners confirms to have fully read & understood the detailed privacy policy & is ready to abide by it.

Payment Terms:

1. Pay-out as per Incentive Payout Grid shall be payable after the disbursal of the loan. If loan is cancelled then no pay out shall be given or may be adjusted from future payouts.

2. The pay-out will be calculated on a monthly basis (calendar month)

3. The Incentive payout will be done in 3 parts

4. First payment of the incentive will be done within 45 days from the date of disbursement of loan.

5. Long Term Incentive Payout shall be paid on 12th and 24th month from the final disbursement of the loan. The 12th month & 24th month payout shall be paid on active loans and the growth partner must also be active in system.

6. Fusion Finance Ltd has rights to modify/change the Incentive Payout slab at any point of time.

Notices

Any notice or request required to be given or made under this Agreement to the Parties shall be given in writing. Such notice or request shall be deemed to have been duly given or made if the same is in writing and sent by e-mail or by personal delivery (a written acknowledgement in receipt thereof shall be sufficient evidence that the notice or other information has been duly given) or by registered post or by a recognized courier to the address of the relevant Party (if the same is not returned to the sender as undelivered, the notice shall be deemed to have been given, seven days after the envelope containing it was so posted). The address and other details of the Parties for the purpose of communication, unless otherwise notified in writing to the other Parties shall be as follows:

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India and shall be subject to the exclusive jurisdiction of the courts at Delhi, India

Relationship:

The arrangements between the Parties under the Agreement have been entered into on a principal-to-principal basis and do not create any employee-employer relationship between the Parties. Nothing contained in the Agreement shall be deemed to create any Growth Partnership, joint venture between the Parties or create any employment or relationship of principal and agent. None of the Parties shall have any right, power or authority to enter into any agreement for or on behalf of, or incur any obligation or liability of, or to otherwise bind, the other Parties except as specifically provided by the Agreement.

By accepting the term and condition of this agreement, the Growth partner is accepting the above mentioned conditions.
